  7. PLEASE READ THE ENTIRE TEXT OF THIS LICENSE AGREEMENT 
  8. CAREFULLY AND MAKE SURE YOU AGREE WITH ALL THE TERMS 
  9. AND CONDITIONS BEFORE USING THIS SOFTWARE.  
  10.  
  11. The accompanying computer program ("Software") is licensed to 
  12. the user by ashampoo GmbH & Co. KG subject to the terms and 
  13. conditions of this License Agreement. By clicking on "Agree"
  14. or "Accept" during installation of the electronically 
  15. distributed version or by installing and using this Software
  16. or by opening the sealed package of the retail version you 
  17. agree to be bound by these terms and conditions. If you do not
  18. agree to any of the terms of this License do not install or
  19. use this Software.

  21. The Software is licensed, not sold, to the user by ashampoo
  22. GmbH & Co. KG for use exclusively under the terms and 
  23. conditions of this License Agreement. ashampoo GmbH & Co. KG
  24. reserves all and any rights not expressly granted to the user.
  25. The user owns the physical media upon which the Software is
  26. distributed or recorded but ashampoo GmbH & Co. KG retains
  27. ownership of the Software itself and the accompanying data 
  28. and documentation.

  30. 1. License: 
  31. (a) This non-exclusive License allows one registered user to 
  32. install and use the Software on one (1) computer or local 
  33. workstation only, subject to the terms and conditions of this 
  34. License Agreement. Multiple users may use the Software non-
  35. simultaneously if it is not installed on more than one 
  36. computer. The Software may be transferred to another computer 
  37. if it is then deleted from the original computer and is never 
  38. used on more than one computer simultaneously. 
  39. (b) If the Software is licensed as an update or upgrade said 
  40. update or upgrade does not constitute a second grant of 
  41. license. The update or upgrade may only be used to replace the 
  42. original, legally licensed version and the original version may 
  43. not be transferred to another user or other third parties.
  44. (c) If the License is transferred to another user the original 
  45. user must erase the program from the computer on which it was 
  46. installed and surrender to the new licensee both the original 
  47. and all copies of the program and its documentation. The new 
  48. licensee must then register the program with ashampoo 
  49. GmbH & Co. KG and agree to be bound by the terms and conditions
  50. of this License Agreement.
  51. (d) If the Software is a time-limited version (shareware) it may
  52. not be used after the end of the trial period. Manipulation of the
  53. program itself or the operating system and/or the use of any 
  54. software that enables continued use of the program after the end 
  55. of the trialperiod is expressly prohibited and will be subject to
  56. prosecution.
  57. All contents of Ashampoo Clipfinder and also third party contents 
  58. which is made available within the software underlie the terms of
  59. use as well as the license agreements and copyrights conditions of
  60. the respective video portal content provider.
  61. The user declares that he accepts the respective terms of use of 
  62. the respective video portal content provider.

  65. 2. Copyright and Other Rights:
  66. (a) The Software, all accompanying data and text files and all 
  67. its documentation in printed and electronic form are protected 
  68. by national and international copyright and other proprietary 
  69. rights. You may make no more than one copy of the Software for 
  70. personal backup purposes only. Such backup copies must remain 
  71. in the possession of the original registered user, may not be 
  72. used to create additional installations on further computers 
  73. for use by other users and must include all copyright notices 
  74. of ashampoo GmbH & Co. KG and any other applicable copyright
  75. notices. Any and all other forms of reproduction or copying 
  76. of the Software and its accompanying data and documentation, 
  77. including copying the Software or parts thereof to any and all
  78. network, Internet and/or online devices and/or services, 
  79. constitute infringement of copyright and other rights.
  80. (b) Any images, graphics and other audio and/or visual material 
  81. included with the Software may be protected by additional 
  82. copyrights and other rights of the respective authors or 
  83. owners. By agreeing to be bound by the terms of this License 
  84. Agreement you also agree to observe the rights subsisting in 
  85. such additional material and any regulations pertaining 
  86. thereto.
  87. (c) The Software embodies and contains secret proprietary 
  88. technologies and information. Reverse engineering, disassembly, 
  89. decompilation and any and all other methods capable of 
  90. providing access to the trade secrets contained in the Software 
  91. are all strictly and expressly prohibited.

  93. 3. Other Restrictions:
  94. (a) You may not modify, adapt, translate or produce derivative 
  95. works based upon the Software or any part of the Software in 
  96. any form whatsoever. 
  97. (b) Unless otherwise specifically indicated in the manual 
  98. and/or other documentation you may only use the Software for 
  99. private, non-commercial purposes. You may not  market, loan, 
  100. rent, lease or advertise the Software without the express prior 
  101. written consent of ashampoo GmbH & Co. KG. Distribution of 
  102. shareware, freeware and public domain software is also only
  103. permitted with the express, prior written consent of ashampoo
  104. GmbH & Co. KG.
  105. (c) You may not use the Software or any of the data or material 
  106. or documentation distributed with the Software for any illegal 
  107. or immoral purposes or for any purposes which could be 
  108. construed as illegal or immoral or for purposes which infringe 
  109. upon legal or commercial rights of any parties under any 
  110. circumstances.

  112. 4. Limited Warranty:
  113. (a) ashampoo GmbH & Co. KG warrants the physical media upon
  114. which the Software is distributed (floppy disk, CD, DVD etc.)
  115. but not the program recorded on the physical media to be free
  116. of defects in materials and workmanship for a period of 30 
  117. (thirty) days from the date of purchase as documented by the 
  118. purchase receipt. Media found to be faulty within this thirty-day
  119. period will be replaced by ashampoo GmbH & Co. KG free of 
  120. charge unless the faults are due to willful damage, negligence
  121. or improper use. Such replacement will be your only and exclusive
  122. remedy in the event of fault or defect. The program itself is
  123. provided "as is" without any warranty of any kind, express or
  124. implied, including but not restricted to warranties of 
  125. merchantability and fitness for a specific purpose.
  126. (b) Under no circumstances will ashampoo GmbH & Co. KG, its
  127. officers, agents, employees, affiliates or associates be 
  128. liable for any consequential, incidental, indirect or special
  129. damages whatsoever (including but not restricted to damages 
  130. for loss of business income or profits, interruption of business,
  131.  financial losses, loss of data or information etc.), deriving
  132. from use of, improper use of or inability to use the Software
  133. or any of the material, documentation or information included or 
  134. distributed with the Software, regardless of the nature and 
  135. foundation of the individual claim or claims. The liability of 
  136. ashampoo GmbH & Co. KG will under all circumstances be limited
  137. to the purchase price of the Software. All other liabilities and 
  138. remedies express or implied, including but not restricted to 
  139. any express or implied warranties of merchantability and 
  140. fitness for a specific purpose, are expressly excluded. These 
  141. limitations may not apply in jurisdictions that do not permit 
  142. the exclusion or limitation of implied warranties.

  144. 5. Product Modifications and Improvements:
  145. ashampoo GmbH & Co. KG reserves the right to change, modify and
  146. improve its products at any time and without notice in the normal 
  147. course of product development. This right includes but is not 
  148. restricted to changes and modifications that add new functions 
  149. or features or remove functions or features mentioned in the 
  150. product advertising or documentation.

  152. 6. Termination:
  153. This License is effective to all registered users until 
  154. terminated. Failure to comply with any of the terms or 
  155. conditions of this License Agreement will terminate the License 
  156. automatically, immediately and without notice from ashampoo 
  157. GmbH & Co. KG. All copies of the Software and its documentation
  158. must be destroyed immediately upon termination of the License.
  159. All regulations of this License Agreement, particularly Sections
  160. 4 and 7, shall continue to apply and be legally binding following 
  161. termination.

  163. 7. General Provisions:
  164. This License will be construed under the laws of the 
  165. Federal Republic of Germany. If any term or provision of this 
  166. License should be or prove to be legally ineffective or 
  167. contrary to law, said term or provision will be enforced to the 
  168. maximum extent permissible, and the remaining terms and 
  169. provisions will not be prejudiced by this and shall remain in 
  170. full force and effect.
